1Acceptance of terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and Fairway Business Setup ("Fairway", "we", "us"), a business consultancy registered in the United Arab Emirates with offices at Boulevard Plaza Tower 1, Downtown Dubai, and a representative office in Mumbai, India.
By engaging Fairway, paying any service fee, signing a Power of Attorney, or otherwise instructing us to act on your behalf, you confirm that you have read, understood, and agreed to be bound by these Terms together with our Privacy Policy and any specific engagement letter or proposal we provide.
Important: If you do not agree with any part of these Terms, please do not engage our services. Our specific engagement letters or proposals may include additional terms which, where they conflict with these Terms, take precedence for that engagement.
2Services we provide
Fairway provides advisory and procedural services in connection with:
- UAE company formation across Mainland (DET, ADDED, SEDD, Ajman DED), Free Zones (DMCC, DAFZA, JAFZA, IFZA, RAKEZ, and others), and Offshore registries (JAFZA Offshore, RAK ICC, AFZA Offshore).
- UAE residence visa services — investor, employee, family, Golden Visa, Green Visa, and renewals.
- Public Relations Officer (PRO) services — government liaison, document attestation, license renewals.
- Trade licensing — issuance, renewals, amendments, and cross-jurisdiction migrations.
- Corporate bank account assistance with UAE and international banks.
- UAE VAT registration and filings, corporate tax compliance, and transfer pricing.
- Accounting, bookkeeping, payroll, and audit preparation.
The specific services to be delivered, deliverables, timelines, and fees applicable to your engagement will be set out in a separate engagement letter or proposal.
3Eligibility
To engage Fairway, you must:
- Be at least 21 years of age (or such other age of legal capacity in your jurisdiction).
- Have legal authority to enter into this agreement on your own behalf or on behalf of any entity you represent.
- Provide accurate, complete, and truthful information.
- Not be subject to any UAE government sanctions, AML/CFT restrictions, or international sanctions lists (UN, OFAC, EU, UK).
Fairway reserves the right to decline or terminate any engagement where eligibility cannot be verified or compliance concerns arise.
4Your obligations
To enable Fairway to deliver services efficiently, you agree to:
- Provide accurate information: all personal, business, financial, and supporting documentation must be true, current, and complete. You are responsible for the accuracy of information you provide.
- Submit documents promptly: respond to document requests within reasonable timeframes. Delays caused by late document submission are not Fairway's responsibility.
- Authorise representation: sign Powers of Attorney where required to authorise Fairway to act on your behalf with government authorities, banks, and third parties.
- Pay fees on time: pay invoices in accordance with Section 5.
- Comply with UAE law: ensure your business activities, source of funds, and beneficial ownership disclosures comply with UAE Federal Decree-Law No. 20 of 2018 (AML), Cabinet Decision No. 58 of 2020 (UBO), and other applicable laws.
- Notify changes: inform us promptly of any change in your contact details, shareholding, business activity, or other material circumstances.
5Fees & payment terms
Fee structure: Fairway's fees for services are set out in your engagement letter or proposal. Fees are quoted in UAE Dirhams (AED) unless otherwise stated. Recurring services (PRO retainers, accounting, tax compliance) are billed monthly or quarterly in advance.
Payment terms: One-time service fees are payable in advance, before work commences. Recurring retainers are payable by the first business day of the service period. Invoices are due within seven (7) calendar days unless otherwise agreed.
Methods of payment: bank transfer, credit/debit card via approved payment gateways, or in-person at our Dubai office. International wire fees and currency conversion costs are borne by the Client.
Late payment: Overdue amounts may incur a late-payment charge of 1.5% per month or the maximum permitted by law, whichever is lower. Fairway may suspend services for accounts in arrears.
VAT: All Fairway service fees are exclusive of UAE VAT (currently 5%) unless explicitly stated otherwise. VAT will be added to invoices at the prevailing rate.
6Government & third-party fees
Government fees (DET, ADDED, free zone authorities, MoHRE, ICP, FTA, MOFAIC, notary publics, courts, etc.) and third-party fees (banks, attestation chains, courier services, audit firms, software subscriptions, translation services) are billed separately at cost and are not included in Fairway's professional service fees unless explicitly bundled in your engagement letter.
Fairway will provide itemised receipts for all government and third-party charges paid on your behalf. You acknowledge that government fees are subject to change at the discretion of the relevant authority and that any such change is passed through at cost.
7Service delivery & timelines
Fairway will deliver services with reasonable skill and care. Estimated timelines provided in proposals or marketing materials are indicative only. Actual timelines depend on government processing times, document availability, sector approvals, banking compliance reviews, and other factors outside Fairway's control.
No guarantee of approval: Fairway cannot guarantee the outcome of government or bank applications. We commit to professional preparation, accurate submissions, and reasonable follow-up — but the final approval rests with the relevant authority. Where an application is rejected for reasons outside Fairway's control (e.g., applicant credentials, regulatory changes, sanctions screening), Fairway is entitled to its professional fees in full.
Government processing times: Trade license issuance typically takes 4–14 working days. Visa stamping takes 7–10 working days. Bank account opening takes 10–25 working days. These are typical ranges and may vary.
8Refunds & cancellations
Cancellation by Client: If you cancel an engagement before substantial work has commenced, Fairway will refund the professional service fee less an administrative fee of 25% of the total. Government fees already paid to authorities are non-refundable.
Refund eligibility: Refunds are not available where (i) the application has already been submitted to government or bank, (ii) trade name reservation has been completed, (iii) MOA notarisation has occurred, or (iv) more than 50% of professional services have been performed.
Refunds for rejected applications: Where an application is rejected, Fairway will retain its professional fees but will, at its discretion, apply credit toward an alternative jurisdiction or service of equivalent value within 12 months.
Recurring services: Monthly or quarterly retainers (PRO, accounting, tax) may be cancelled with 30 days' written notice. Pro-rated refunds are not available for partial months.
9Limitation of liability
To the maximum extent permitted by UAE law:
- Fairway's total aggregate liability arising from or related to any engagement, regardless of cause of action, shall not exceed the total professional fees paid by the Client to Fairway under that engagement in the twelve (12) months preceding the claim.
- Fairway shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, business opportunities, goodwill, or data.
- Fairway shall not be liable for delays, rejections, or losses caused by government processing times, regulatory changes, third-party banks, sanctions screening, force majeure events, or actions of the Client.
- Fairway is not a law firm and does not provide legal opinions. We are not licensed tax advisors in jurisdictions outside the UAE. For legal opinions, court representation, or non-UAE tax matters, you should engage qualified specialists in the relevant jurisdiction.
Fairway maintains professional indemnity insurance commensurate with industry standards. Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct, where such limitation is not permitted by UAE law.
10Intellectual property
All proprietary methodologies, templates, checklists, processes, software, and written materials developed by Fairway in the course of delivering services remain the intellectual property of Fairway. The Client receives a limited, non-transferable licence to use deliverables solely for their own internal business purposes.
Documents prepared specifically for the Client's licensing, visa, or banking submissions (MOA, applications, KYC packs) are deliverables owned by the Client upon full payment of fees. Fairway may retain copies for its records and regulatory obligations.
The Fairway name, logo, website content, and marketing materials are protected by copyright and trademark. You may not reproduce, modify, or use them without our written permission.
11Confidentiality
Fairway treats all Client information as strictly confidential. We will not disclose your information to third parties except (i) as authorised by you (typically via Power of Attorney for government and bank submissions), (ii) as required by law, regulatory authority, or court order, or (iii) as set out in our Privacy Policy.
All Fairway staff are bound by confidentiality undertakings. We require similar confidentiality from sub-contractors and service providers we engage.
The Client agrees to maintain confidentiality regarding Fairway's pricing, methodologies, internal processes, and any non-public information shared during the engagement.
12Termination
Termination by Client: You may terminate the engagement at any time by giving 30 days' written notice (for retainer services) or by formal written cancellation (for one-time services). Refund eligibility is governed by Section 8.
Termination by Fairway: Fairway may terminate the engagement immediately if (i) the Client fails to pay invoices for more than 30 days, (ii) the Client provides false or misleading information, (iii) the Client requests services that violate UAE law, sanctions, or anti-money-laundering regulations, (iv) the Client breaches these Terms materially, or (v) continued engagement creates regulatory or reputational risk for Fairway.
Upon termination, the Client will pay all outstanding fees for work performed up to the termination date, plus any non-refundable government fees already paid on the Client's behalf. Fairway will return Client documents (subject to legal retention obligations) and provide a final account statement.
13Force majeure
Neither party will be liable for delay or failure to perform due to events outside its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, labour disputes, government restrictions, pandemic, internet or banking system outages, or natural disasters. The affected party will notify the other party promptly and use reasonable efforts to resume performance.
14Governing law & dispute resolution
These Terms and any engagement between Fairway and the Client are governed by the laws of the United Arab Emirates, applicable in the Emirate of Dubai, without regard to conflict-of-law principles.
Any dispute arising out of or in connection with these Terms shall first be addressed by good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the Courts of Dubai. Where the dispute concerns a matter for which DIFC Courts have jurisdiction by mutual agreement, the parties may elect for DIFC Courts to apply.
Notwithstanding the above, Fairway reserves the right to seek injunctive relief in any court of competent jurisdiction to protect confidential information or intellectual property.
15General provisions
Entire agreement: These Terms, together with any engagement letter and our Privacy Policy, constitute the entire agreement between Fairway and the Client and supersede all prior agreements.
Amendments: Fairway may update these Terms from time to time. Material changes will be notified to active Clients by email and posted on this page. Continued use of services after the update constitutes acceptance.
Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
No waiver: Failure or delay by either party to enforce any provision does not waive that party's right to enforce it later.
Assignment: The Client may not assign this agreement without Fairway's written consent. Fairway may assign or sub-contract to qualified affiliates and service providers.
Notices: Notices to Fairway must be sent to legal@fairway.ae with copy to Office 2401, Boulevard Plaza Tower 1, Downtown Dubai. Notices to the Client will be sent to the email and address on file.
Language: These Terms are issued in English. In the event of conflict with any translated version, the English version prevails.
